AMERICAN SYSTEMS To Acquire Test & Evaluation Business From SAIC

AMERICAN SYSTEMS a government IT services provider and one of the top 100 employee-owned companies in the U.S., today announced it has signed a definitive agreement to acquire the Test & Evaluation (T&E) business unit from Science Applications International Corporation (SAIC). The transaction is expected to close by mid-October.

The strategic acquisition will complement AMERICAN SYSTEMS' current T&E capabilities and bolster key T&E resources to enable the company to perform a wider range of services to include testing, scientific, engineering, logistic, administrative, and ancillary support of its customers' T&E missions.

"AMERICAN SYSTEMS identified the Test & Evaluation market as a key element of our strategic plan several years ago, and while we have made significant inroads into that community, most recently with our award of a DISA/JITC contract, this acquisition strengthens our T&E portfolio and opens up opportunities with new customers and markets," said Bill Hoover, AMERICAN SYSTEMS president and chief executive officer. "It's a great fit with our culture and our current capabilities, and I'm confident this will be a successful acquisition."

Under the terms of the agreement, approximately 300 SAIC personnel will join AMERICAN SYSTEMS' Human Capital & Managed Services group (HCMS), led by VP/GM Jason Frye. The T&E Business will be a key component of HCMS, according to Frye. "We are pleased to be joining AMERICAN SYSTEMS," said Chuck Zang, T&E business unit general manager. "They have an excellent reputation as a customer-focused company and as an employer of choice. Together we will have an opportunity to bring our unique capabilities to a broader set of business areas, while continuing our dedication to the highest levels of technical performance."
