Extranet Terms and Conditions of Use

 

This page states the Terms and Conditions under which you may use any AMERICAN SYSTEMS extranet site. Please read this page carefully. If you do not accept the Terms and Conditions stated here, do not use the site. AMERICAN SYSTEMS may revise these Terms and Conditions at any time by updating this posting. You should visit this page periodically to review the Terms and Conditions, because these are binding on you.

CONDUCT

You agree to access and use this site for lawful purposes ONLY. You are solely responsible for the knowledge of and adherence to any and all laws, statutes, rules, and regulations pertaining to your use of this site and all AMERICAN SYSTEMS’ IT Systems. By accessing this site, you agree that you will NOT:

  • Use the site to commit a criminal offense, or to encourage others to conduct acts that would constitute a criminal offense or give rise to civil liability;

  • Post (or transmit) any unlawful, threatening, libelous, harassing, defamatory, vulgar, obscene, pornographic, profane, or otherwise objectionable content;

  • Post, upload or transmit any information or content that violates the intellectual property or privacy rights of any person or entity;

  • Use the site to impersonate other parties or entities;

  • Use the site to upload any content that contains a software virus, such as a Trojan or any other computer codes, files, or programs that may alter, damage, or interrupt the daily function of the site (or the hardware/software of any other person who may access the website);

  • Upload, post, e-mail, or otherwise transmit any materials, that you do not have the right to transmit under any law (or under any contractual relationship);

  • Disrupt the normal flow of communication in any way;

  • Claim a relationship with or speak for any department, division, organization, unit, etc., which you are not authorized to claim such a relationship;

  • Post or transmit any unsolicited advertising, promotional materials, or other forms of solicitation;

  • Post any material that infringes (or violates) the academic/intellectual rights of others; or collect (or store) personal information about others.

Should you become aware of any content or posting that violates the above restrictions you may inform AMERICAN SYSTEMS accordingly by sending AMERICAN SYSTEMS an e-mail at HR@AmericanSystems.com. Upon receipt of your e-mail, AMERICAN SYSTEMS shall take whatever action it considers appropriate under the circumstances, including removal of the offending information or content. 

You shall further use this site in accordance with and subject to any other restrictions, limitations, permissions or the like that AMERICAN SYSTEMS may have imposed on you or on users of the site generally, or that you may have otherwise agreed to. 

PASSWORDS

Passwords are an important aspect of information security. Poor password management practices can result in unauthorized access and/or exploitation of Company resources. All users are responsible for taking appropriate steps to select strong passwords and safeguard them from unauthorized use.  All Extranet passwords will conform to the requirements as found within Microsoft’s Azure AD Password Policies.

CONTENT AND LINKS TO OTHER SITES

Generally, any communications that you post to this site is considered to be non-confidential. By posting communications to this site, you automatically grant AMERICAN SYSTEMS a royalty-free, perpetual, irrevocable nonexclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed.

AMERICAN SYSTEMS reserves the right to delete, move, and/or edit any postings that come to our attention, which we consider to be unacceptable or inappropriate whether for legal or other reasons. Note: The United States and foreign copyright laws, as well as international conventions protect the contents of the website.

All information on this site is to be considered as personal and business sensitive and will not be used or discussed with individuals other than those authorized to use it. Information system may contain Covered Defense Information (CDI). This site IS NOT cleared for ANY classified information.  The processing of U.S. Government classified information (i.e., TOP SECRET, SECRET, CONFIDENTIAL) is specifically prohibited on all AMERICAN SYSTEMS computer assets and other systems unless a system has been specifically approved for such processing by the Defense Security Service. Questions regarding approved systems are to be addressed to the Corporate Information Systems Security Manager (ISSM) as the procedures for processing of classified information are unique for each approved system. All violations of this practice will be reported to the Corporate ISSM as soon as possible for resolution.

Reference herein to any specific commercial products, process, or service by trade name, trademark manufacturer, or otherwise, does not necessarily constitute or imply AMERICAN SYSTEMS’ endorsement, recommendation or favoring. Information on this site is confidential and may be legally privileged. It is intended solely for authorized users and is subject to AMERICAN SYSTEMS’ Non-Disclosure Agreement and/or internal confidentiality disclosures. MONITORING

AMERICAN SYSTEMS reserves the right to monitor the content that you provide. Any system may be monitored for all lawful purposes, including ensuring that their use is authorized, for management of the system, to facilitate protection against unauthorized access, and to verify security procedures, survivability and operational security. Monitoring may include active attacks by authorized entities to test or verify the security of this system. During monitoring, information may be examined, recorded, copied, used for authorized purposes and subject to audit. Use of the information system indicates consent to monitoring and recording. All information, including personal information, placed on or sent over this system may be monitored. Use of this web system, authorized or unauthorized, constitutes consent to monitoring of this system. Unauthorized use may subject you to criminal prosecution. Evidence of unauthorized use collected during monitoring may be used for administrative, criminal or adverse action.

DISCLAIMER OF WARRANTIES

You agree that use of the AMERICAN SYSTEMS site and its applicable services are entirely at your own risk. The website and its services are provided on an "as is" or "as available" basis, without any warranties of any kind.  All express and implied warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights are expressly disclaimed to the fullest extent permitted by law. Furthermore, AMERICAN SYSTEMS disclaims any warranties for the security, reliability, timeliness, accuracy, and performance of the website.

AMERICAN SYSTEMS reserves the right to take the website and its services offline for any reason. The website and its services shall occasionally be taken offline for routine maintenance; notice shall be provided to AMERICAN SYSTEMS employees in advance of the scheduled downtime. For all security related or other critical upgrades, AMERICAN SYSTEMS can take the website and its services offline without notice.

LIMITATIONS OF LIABILITY

Under no circumstances shall AMERICAN SYSTEMS be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if AMERICAN SYSTEMS has been advised of the possibility of such damages), resulting from any aspect of your use of the website, whether the damages arise from use or misuse of the site, from the inability to use the website or the service, or the interruption, suspension, modification, alteration, or termination of the site. Such limitation shall also apply with respect to damages incurred by reason of other services or products received through the website.  These limitations shall apply to the fullest extent permitted by law.   

INDEMNITY

You agree to indemnify and hold AMERICAN SYSTEMS, its officers, subsidiaries, affiliates, successors, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of content you submit, post or make available through the site, your violation of the Use Agreement, your breach of any of the representations and warranties herein, or your violation of any rights of another.
GENERAL INFORMATION

These Terms and Conditions (collectively, “Use Agreement”) constitute the entire agreement between you and AMERICAN SYSTEMS in reference to using this site. This Use Agreement and the relationship between you and AMERICAN SYSTEMS shall be governed by the laws of the State of Virginia. The failure of AMERICAN SYSTEMS to exercise or enforce any right or provision of the Use Agreement shall not constitute a waiver of such right or provision. If any provision of the Use Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Use Agreement remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the website or the Use Agreement, must be filed within one (1) year after such claim or cause of action arose or be forever barred.

The use of personal e-mail addresses to access our sites is not permitted. You cannot share your credentials with other users.

EMPLOYEE ACCESS

All AMERICAN SYSTEMS employees must use their corporate network account credentials to access the extranet. They must either be physically connected to the AMERICAN SYSTEMS network or connected through the Connect Portal via two-factor authentication.

AMERICAN SYSTEMS employees are NOT allowed to use any e-mail address (professional or personal) to request an extranet account. AMERICAN SYSTEMS employees possessing an extranet account shall have their extranet account revoked.

SITE OWNER RESPONSIBILITIES

Site Owners have full control and responsibility of their extranet site. Only AMERICAN SYSTEMS employees shall be allowed to be Site Owners within the corporate extranet.

Site Owners are responsible for the following routine tasks:

  • Requesting extranet accounts for external non-AMERICAN SYSTEMS users (business partners, vendors, sub-contractors, customers) who require access to their site

  • Assigning site permissions for extranet accounts and AMERICAN SYSTEMS employees

  • Ensuring only AMERICAN SYSTEMS employees are Site Owners

  • Reviewing site permissions on a regular basis and removing accounts that are no longer in use

  • Ensuring that site content permissions are in place to limit access to an appropriate audience

  • Ensuring all content posted to the site is accurate, relevant, and current

  • Securing information to meet all legal and compliance standards

  • Removing restricted and outdated materials

  • Ensuring that non-AMERICAN SYSTEMS users have been vetted to be trustworthy, prior to requesting account
